A Nebraska limited liability company is a legal entity that exists separately from its owners and members. Under Nebraska’s Uniform Limited Liability Company Act the only remedy a creditor can use to gain an interest in an LLC is a charging order. This means that should a member of the LLC be sued by a creditor; the creditor can only seek to be repaid through the LLC by a court order. The judgment creditor is only entitled to the member’s distributions, not the members entire interest in the LLC. Since the charging order is considered a lien, it may be foreclosed upon court order if it is shown that the distributions will not repay the debt in a reasonable amount of time.

    Nebraska LLCs aren’t required to hold annual meetings and pass resolutions like corporations. Nebraska LLCs are a much simpler business entity.
  3. Nebraska Income Tax
    A Nebraska LLC has the same filing status as it does for federal income taxes. If the LLC is taxed as a partnership or S corporation, then the appropriate Nebraska tax return must be filed. If you are taxed as a corporation, you must pay the corporate income tax. The Nebraska Corporate Income Tax rate is 5.58% on income up to $100,000 and 7.81% on income over $100,000. Nebraska Individual Income Tax rates range from 2.46% to 6.84%.

In Nebraska, limited liability companies (LLCs) are formed by filing a formation document called the Certificate of Organization with the Nebraska Secretary of State.

  1. Include the following information in the Certificate of Organization

    • Nebraska LLC name (must include “Limited Liability Company,” “Limited Company,” or an abbreviation)
    • Nebraska resident agent, registered office address, and signature
    • Signature of a person authorized to form the LLC (known as the organizer(s))
  2. Submit the completed Certificate of Organization to the Secretary of State
