All Kentucky Corporations and LLCs Must File: 

  • Articles of Incorporation
    File your Articles of Incorporation or Articles of Organization with the Kentucky Secretary of State and pay the filing fee. The cost to form a Kentucky corporation or Kentucky LLC is $40.
  • Beneficial Ownership Information Report
    Nearly all businesses formed by filing with the state of Kentucky must file a federal Beneficial Ownership Information (BOI) Report with the Financial Crimes Enforcement Network (FinCEN) following business formation.   • Annual Report
    Kentucky corporations and LLCs must file the Kentucky Annual Report every year after incorporation. The report is due by June 30 each year. The business report fee is $15.

Kentucky Business Taxes

Personal Income Tax
The Kentucky individual income tax rates are:
$ 0 – $3,000, tax is 2% of taxable income
$3,001 – $4,000 , tax is 3% of taxable income minus $30
$4,001 – $5,000, tax is 4% of taxable income minus $70
$5,001 – $8,000, tax is 5% of taxable income minus $120
$8,001 – $75,000, tax is 5.8% of taxable income minus $184
$75,001 and up, tax is 6% of taxable income minus $334

Corporate Business Tax
The tax rates for Kentucky corporations are:
$0 – $50,000, tax is 4% of taxable net income
$50,000 – $100,000, tax is 5% taxable net income
$100,000 and up, tax is 6% of taxable net income

Kentucky Business License

Kentucky does not require you to have a state business license, but you should check to see if you need any local licenses.
