All Michigan Corporations and LLCs Must File: 

  • Articles of Incorporation
    File your Articles of Incorporation or Articles of Organization with the Michigan Corporation Division and pay the filing fee. The cost to form a Michigan corporation is based on the number of authorized shares. The minimum incorporation fee is $60. The cost to form an LLC is $50.
  • Beneficial Ownership Information Report
    Nearly all businesses formed by filing with the state of Michigan must file a federal Beneficial Ownership Information (BOI) Report with the Financial Crimes Enforcement Network (FinCEN) following business formation.   • Annual Report
    The Michigan Annual Report costs $25 for corporations or LLCs. The annual report for corporations is due May 15. The annual report for LLCs is due on February 15. Michigan annual reports may be filed online.

Personal Income Tax
The Michigan individual income tax rate is 4.25%.

Corporate Income Tax
The tax rate for Michigan corporations is 6%.

Business Tax

Michigan also imposes a 4.95% business income tax and a 0.8% modified gross receipts tax.

Michigan Business License

Michigan does not have a state general business license. However, you will need to apply for the necessary licenses from the Department of Licensing and Regulatory Affairs and/or your local government.
