Tips for naming your Wyoming Corporation
A Wyoming corporation name must include Corp, Inc, Incorporated, or Corporation at the end of its name. A corporation cannot have the same name as an existing Corporation, Limited Liability Company or a Limited Partnership. To determine if a corporate name is distinguishable, the Secretary of State will ignore the use of punctuation, prepositions and articles used in the company name. The Secretary of State will also ignore the use of capitalization, spaces and plural forms of words or special characters as this does not provide distinction. Also certain words will be regulated and prior approval may be needed in order to use the word in a corporate name. Restricted words are such as “bank”, “insurance”, etc.
Corporate Officers
A corporations has many officers at its disposal. The minimum officers that a corporation must have when forming the corporation is a president, secretary and treasurer. The good thing about the officer positions is that one person can serve as all the officers. As more people come into the company, more of the officer roles can be done by other people. There can be other officers as deemed necessary. Also, the corporation must have directors and a board of directors for the company.
Incorporator
When you form a corporation. The person forming the corporation is called the incorporator. The incorporator is simply the person submitting documnents. It can be anybody. The incorporator isn't tied to the company legally and therefore it could be us, or anybody else. The incorporator can't be changed in the future however all the information about the corporation can be updated.
