Why form a Washington LLC?

Control risk when you form a Washington LLC

When you form a Washington LLC, you are on your way to reducing the risk involved in running a company.  This protection is afforded to you by the laws and regulations of Washington.  The LLC creates a separation from you as an individual from that of the LLC.  This separation is what protects your personal assets.  There are still risks involved in operating a company, but at least you'll know that the risk of exposing your personal assets to litigation has been removed. 

Guidelines for naming your Washington LLC

LLC or Limited Liability Company must be included in the name of a Limited Liability Company. A Limited Liability Company formed in Washington must contain Limited Liability Company, or Limited Company or its abbreviation at the end of the company name. A Limited Liability Company may not assume the same name as an existing Corporation or another LLC.

Names must be distinguishable from other corporations, LLC and LLPs that are active or reserved in Washington. The company name is not distinguishable by differences in punctuation, conjunctions, or prepositions. Also the Secretary of State may reject names that are too similar to that of another business entity. There may be other words that are restricted in its use and prior approval from its corresponding agency may be needed. Such words are “bank”, “trust”, or “insurance” etc.

What is a Registered Agent?

All states require an individual or a third party entity to serve as a registered agent.  The role of the registered agent is to serve as the contact person or entity for the Secretary of State should they need to send legal document to.  Many individuals will serve as their own registered agent.  Most commonly, the registered agent is used when a person files for a LLC in a state that they don't reside in and has no individual in that state that could serve as the registered agent.

Manager or member for a LLC

One of the options of forming a LLC is to decide how the LLC is to be managed.  There are two choices.  One is the member managed and the other is to have a manager.  The member managed LLC is when the members participate equally in the management of the LLC whereas the manager is somebody who is not a member and is hired to manage the affairs of the LLC.  Most typically, LLCs formed in Washington are member managed.
