What is a registered agent?

Although a corporation and a LLC is a separate legal entity, the entity itself cannot physically receive any documents sent to it.  Therefore every Secretary of State’s statutes requires that a corporation or a LLC have a registered agent, an individual designated by the legal entity to receive documents.
