Forming an Oklahoma corporation

Amending an Oklahoma Corporation
Once organized and on file with the Oklahoma Secretary of State, the Articles of Incorporation can be modified through the filing of an "Amended Certificate of Incorporation", pursuant to Section 1076 of the Oklahoma General Corporation Act.
This amendment will allow the corporation to change its name, change the Oklahoma registered agent name and address, as well as any additional changes that may be requested.
Tips for naming your corporation
A Corporation formed in the state of Oklahoma must have as its legal descriptor, Corporation, Incorporated, Corp, or Inc. An Oklahoma entity can’t share the same name of another corporation or a LLC already on file or reserved in the state. The name of the corporation must be distinguishable from another filing already on file. In determining distinction between entities, the Secretary of Sate typically will ignore words such as “the”, “and”, “a”, “an” etc. when determining distinction. Also it will ignore the use of capitals, punctuation, and the use of spaces. Also, the Secretary of state will reject names that are deceptively similar to that of another entity.
Dissolving an Oklahoma Corporation
When an Oklahoma corporation decides to cease operation and close, a representative should file a Certificate of Dissolution to dissolve the entity pursuant to Section 1095 of the Oklahoma General Corporation Act. This document requires a $50 filing fee.
