Naming your New Hampshire LLC

New Hampshire is very selective in their name approval; you may not have a Corporation and LLC under the same name. The endings LLC, L.L.C., and Limited Liability Company are acceptable for LLCs. The LLCs can end in LLC, L.L.C., Limited Liability Company, Limited, or Ltd. Limited Liability Companies are allowed to have the same name as a corporation. In determining the approval of a proposed LLC name, the Secretary of State will ignore words such as “and”, “the”, “or”, “a”, “an”. The Secretary of state will also ignore the use of punctuation, spaces and the use of capitals.

Management of your LLC

The LLC is unique in that the owners of the LLC are represented by the members and not by the shareholders for a corporation.  There are no shares associated with LLCs.  Ownership is determined by the members as laid out in the LLC's operating agreement.  However, there are two types of management for a LLC.  One is member managed and the other is manager managed.  The member managed is most common, where the members have full and equal authority to run the LLC.  The manager managed system has a representative other than the members to take on authority of the LLC.

What is a registered agent?

The registered agent serves as the contact person for the Secretary of State.  The registered agent will accept legal documents from the Secretary of State if the LLC were to be sued.  The registered agent must be 18 years old, a resident of the state and have a physical address.  If an individual or a physical address can't be provided, there are third party companies who can serve as a registered agent for a fee.
