How to form a Nevada LLC?

The way to form a Nevada LLC is to prepare and submit articles of organization to the Nevada Secretary of State.  The articles must include:

  • the name of the business
  • a registered agent with street address in Nevada,
  • member / manager names and addresses
  • dissolution date ( optional )
  • name and address of organizer
  • signature of registered agent acceptance

These are the basic requirements to file for an LLC in Nevada, and they must be prepared correctly or the filing will not be approved.  

    A Nevada LLC can limit risk

    Forming a Nevada LLC can limit your risk of running a business.  By default, an LLC in Nevada will control risk by providing a barrier between business debts and personal wealth.  This is the purpose of an LLC; however the veil of protection can be breached if the company does not maintain a good status with the state, or if it does not follow all local, state, and federal laws.

    Make sure that you have a business license, and all required licenses for your business.  You will also want to use your federal tax ID number in all instances where you would otherwise use a SSN number.  This will also help you create a barrier.

The name proposed for a limited-liability company must be distinguishable from any other LLC on file with the Secretary of State. In determining the approval of a proposed LLC name, the Secretary of State will ignore words such as “and”, “the”, “or”, “a”, “an”.

    The Secretary of state will also ignore the use of punctuation, spaces and the use of capitals The Secretary of State does regulate the use of certain words such as any sort of “engineering” or “accounting” or housing association such as “homeowners association”.
