LLC naming requirements

Every Minnesota Limited Liability Company name must be in the English language or in any other language expressed in English letters or characters. The name shall contain the words "limited liability company," or must contain the abbreviation "LLC". The LLC name must not contain the word corporation or incorporated the abbreviation of those words. The name may not contain a word or phrase that indicates or implies that it is organized for a purpose other than a legal business purpose. Every LLC name must be distinguishable upon the records in the Office of the Secretary of State from the name of each domestic limited liability company, limited liability partnership, corporation, and limited partnership.

Who is Liable for business debt?

When forming a Minnesota LLC, you are in fact creating a legal and separate entity.  Therefore if the company were to be in a lawsuit, the personal assets are unaffected.  Therefore the individuals are not liable for the debts and obligations of the entity.

What is a Registered Agent?
