What does the Secretary of State do?

In most states, the main agency responsible for administrating LLCs is the Secretary of State (in others, it is the Division of Corporations).  All corporate paperwork, once completed, is submitted to the Secretary of State for approval.  Once the paperwork is submitted, name availability is checked and if accepted, the filing is approved.

Division of Corporations

The Division of Corporations is part of the SOS, but, it is the unit that deals directly with corporate filings.  If you need to contact the state regarding your filing, you may need to contact this unit to answer your question.  We contact the SOS Division of Corporations at various times during the ordering process for your filing.

Under each state's Laws, owners of the LLC are not personally liable for its debts and obligations if corporate status is maintained .
