Common Questions regarding Forming an LLC
What is an LLC?
A Limited Liability Company, or LLC, is a separate legal entity but not a
separate taxable entity. Essentially a LLC combines the advantage of limited
liability as with a corporation, and pass through taxation as with a
partnership.
What are the advantages?
There are many advantages to forming an LLC. The main advantage is an LLC
protects its owners from business debt as they will have “limited liability”.
Because an LLC is not a separate “taxable” entity, the threat of double
taxation is removed.
If you are operating as a sole proprietor, or as a partnership, nearly
everything you own can be at risk in settling business debts or lawsuits
against your business.
What are Articles of Organization?
Articles of Organization act as a charter, or declaration, which simply
establishes the existence of your business in your state. They usually include
such basic information as the name of the business, the owner, other directing
parties if any, managers, etc.
How many people are required in order to form an LLC?
One. The IRS allows one person to form an LLC in order to qualify for pass
through taxation.
What is an operating agreement?
