Starting an Indiana LLC

Establishing an Indiana Limited Liability Company (Indiana LLC) is created by filing Articles of Organization with the Indiana Secretary of State's office in Indianapolis. These Articles include specific information about the newly formed entity such as: new business name, Indiana registered agent, etc. 

Naming your new Indiana LLC

The name of each Indiana limited liability company must contain the words "limited liability company" or either of the following abbreviations "L.L.C."; or "LLC"; The name of the LLC may contain the name of a member or manager. The entity name must distinguish itself with other names of LLCs or other business entities either registered or reserved that are found in the records of the office of the secretary of state. A limited liability company may apply to the secretary of state to use a name that is not distinguishable upon the secretary of state's only be consent of the LLC that is in conflict. 

Do you have to be a U.S. citizen

The state does not check for each filing to determine if the person forming the LLC has legal residency.  The state only requires information about who the incorporator and registered agent are.  They do not require social security numbers or proof of residency.

The problem with forming a LLC however is if you need to obtain a federal employer ID number from the IRS.  In filing this form with the IRS, they do require a social security number or a taxpayer ID number.  So although it is not required to be a citizen to form a LLC, you do need residence to get a tax ID.

Liability Protection

The most important reason why people form a LLC is to get the liability protection.  The liability protection is created because forming the LLC, it separates the owner of the LLC from the business.  Therefore the members of the LLC are not liable for the debts and obligations of the LLC. 

So if there is a lawsuit in the operation of your LLC, your personal assets are protected.  Only the business assets of the company can be vulnerable.
