What does "Service of Process" mean to my Corporation?

Service of process means delivery of a statement of claim, summons, complaints, or other pleadings to those parties named in a court or other adversarial proceeding. Usually, notice is furnished by delivering a set of court documents to the person or corporation to be served while it is within the jurisdiction of a state.

 

Why do I need a registered agent?

A Registered Agent is an individual in which the state is able to deliver any documents and tax notices, and accept the service of process, or be served. If you do not live in the state in which you are forming your corporation, then you will need a registered agent.

The Registered Agent for your corporation must be located at a legal physical address within the state in which you will submit your filing and must be at least 18 yrs of age, and therefore cannot be a company. As long as you meet the above requirements you may list yourself as the Registered Agent for your corporation. If you do not have the means to a registered agent in a state that you will be filing in, other than where you reside, Incorporate Fast may appoint you a registered agent at a reasonable annual fee.

Failure to designate a registered agent may cause your company to fall out of “good standing”, or be delinquent within the state in which you filed in. Penalties will be assessed to bring your company to a “good standing” again.
