A registered agent is simply a point of contact person for the state.  The state needs an individual that is a resident of the state who has a physical address.  The purpose is that the registered agent will be the person whom the state will serve process in the event of a lawsuit.  In most cases, the registered agent will be one of the directors of the corporation.  The registered agent does not however have to be an officer of the corporation.  The corporation can designate somebody to do this.  Also, the registered agent is not necessarily legally tied to the corporation, it is simply the person who will accept service of process and deliver these documents to the officers of the corporation.

If you choose not to have a person to serve as the registered agent, you can choose to have a third party to provide this service for you.  The advantages of having a third party is that is adds some privacy to your filing.  Instead of having an individual’s name, it will show the third party’s information on public records.
