Colorado Registered Agent
The Secretary of State of Colorado requires that all business entities maintain a registered agent within the state of Colorado, or the entity will be considered non-compliant. The main duties of a registered agent are to accept service of process on behalf of the LLC, as well as receiving the Annual Report notices. Any willing individual 18 years or older, or Colorado business with a primary street address within Colorado can serve as registered agent.
Taxes for Colorado LLCs
The Secretary of State of Colorado is responsible for the organization of the entity, and not responsible for any taxation. Federal taxes will be paid to the IRS, while state taxes will be dealt with by the Colorado Department of Revenue.
Registering a Non-Colorado entity
A legal business entity that is organized outside of the state of Colorado who wish to operate within Colorado should file a Statement of Foreign Entity Authority with the Colorado Secretary of State. "Foreign" simply means that the entity is organized in a state other than Colorado.
Useful tips on naming your LLC
Colorado Limited Liability Companies filed by the Secretary of State must end in either "Limited Liability Company" or its abbreviation "LLC". Business names must be distinguishable between other businesses for it to be used in Colorado. Each character, except for the use of periods, commas, underscores, apostrophes and inverted apostrophes, may create a name that is distinguishable. The use of a space or a hyphen between words will provide enough distinction to be used as a business name. For instance ABC Corp vs. A B C Corp vs. A-B-C Corp. Also difference entity types will provide distinction between companies, such as ABC Inc is not the same as ABC LLC. All entities must have some sort of entity descriptor at the end of the name such as LLC, Limited Liability Company etc...
