Dealing with a delinquent Colorado corporation
Colorado corporations will become delinquent if the entity does not file an Annual Report within 6 months of the original due date, or if the corporation fails to maintain a registered agent.
To rectify this problem with the Colorado Secretary of State, a Statement Curing Delinquency must be filed. If you wish to simply dissolve the corporation to cease existence, Articles of Dissolution or a Statement of Withdrawal should be filed.
Amending your Colorado corporation
At any point during the existence of the corporation, you may modify or amend the Articles of Incorporation through filing a Statement of Change with the Colorado Secretary of State. This document will allow a Colorado corporation to change its name, addresses, etc.
Tips on naming your Corporation
Colorado Corporations must have as its legal designator as "Corporation", "Incorporated" or its abbreviation such as "Inc", "Corp". Name availability is determined by each business name being distinguishable from other businesses in Colorado. The use of a space or hyphen for instance will provide distinction between names such as ABC Corp vs. A B C Corp vs A-B-C Corp. However, the use of periods, commas, apostrophes, inverted apostrophes and underscores do not provide a distinguishable characteristic. Corporations and LLC’s can have the same name in Colorado as long as the entity descriptor is different such as ABC LLC vs ABC Inc. All corporations registered in Colorado must end in either Inc, Corp, Incorporated.
