We are quickly approaching the end of the year.  Many will wonder whether its best to file a new Corporation now or wait till 2011.  The answer to your question may not be very clear.  It may come down to taxes and the best person to ask about when to file could be your accountant. 

Filing now may be beneficial if your business will benefit from tax related deductions.  However, many may opt to file at the start of the new year just to make things easier and a more symbolic gesture as to when the company starts.

Though it might only bee a slight increase, the National Federation of Independent Business are reporting that small business optimisim is up as of last month. Though there might not be any new hiring going on just yet, the trend continues to slowly move in a positive manner. Corporate Dissolution

Times are tough and many businesses out there are struggling to survive.  Many unfortunately are going out of business simply because there isn't enough customers to keep their business going.  In this case, if you're running a corporation or a LLC, it is important that you file for a dissolution with the state.  A dissolution, is the opposite of forming your corporation by submitting articles of incorporation or oganization.  Articles of dissolution must be submitted to the state to terminate the existence of your business.

With the filing of the Articles of Dissolution, fees may be involved to submit these forms to the state.  Failure to submit these forms to the state may result in you paying fees for having a company that is still active.  In most state, failure to pay these fees may result in an automatic dissolution with the state.  In California, failure to submit the articles of dissolution, may require you to pay the minimum franchise tax of $800.  Therefore it is important that you file these documents.

Once business gets better,  most states may reactivate dissolved companies however you will most likely need to refile articles of incorporation to reinstate the company.  One thing to note about this is that some states require a corporate name to be dissolved for a certain period of time, usually a year to five years for the same name to be used again.  So you may need to change the name of the corporation if this happens.

Successful Small Business Tips # 18: Take Breaks

Studies have shown that breaks increase productivity, and not just breaks during your work day, but days off, where you're not thinking about anything work related. Often times when you start a business, there are so many things to do, from incorporating or forming an LLC to creating an online presence. When you're first starting out there's not much time to take off, but it's important to set aside time to take off, even if it's only a one day break, the work to be done will still be there when you pick up again the next day. Well the midterm election is only a few weeks away.  Voter turnout may be mixed as alot of the population may be fed up with what our politicians are doing to help people and small business.  It is a wonder that anything can get done considering that politicians in California couldn't get a budget passed for months.  Its no wonder that people don't want to show up and vote anymore.  For Californians, this may be more of an important election than in most years because several key offices are up for grabs especially the governor and senator seats. 

Carly Fiorina and Barbara Boxer are fighting for the senate seat of California and Meg Whitman and Jerry Brown for govenor.  Both of these results could have a significant impact on what each candidate can do to improve our economy in California.  California is one of the highest in terms of unemployment and our debt just seems to get worse every year.  Voters may be apathetic and this year may be the year that the feeling will be to get the incumbents out and start with some new fresh faces.

Rental property and protecting your assets

Small business is not the only reason why someone would file for a corporation or LLC. Another big reason for filing is to protect personal assets as a property owner. Many individuals own real property which they rent out.
