Forming an Arizona LLC
The filing requirements must be met before an LLC will be approved by the Arizona Corporation Commission. We have listed some of the requirements:
- An LLC must have at least one or more members.
- The articles can list a date to dissolve, but this is optional as an LLC can have an indefinite life.
- The LLC must be either managed by members, or managed by managers.
- The articles must include the address of the business.
- The articles must include the name and address of the registered agent for the business.
Once the articles are filed and approved, they will be issued a filing date. The filing date issued will be the date that the articles were received by the Secretary of State.
How to Name an Arizona LLC
All Limited Liability Companies that chose to organize a LLC in Arizona must have the common ending of “Limited Liability Company”, “Limited Company” or the abbreviations of the names.
Limited Liability Companies are not allowed to have the following endings attached to their names: “Association”, “Corporation”, or “Incorporated” or any similar abbreviations of these names.
There is a 60 character limit on the length of the business name. Spaces between separable words does not provide a distinction between names such as northwest vs. north west. Punctuation, capitalization and the use of an ampersand used in the name of the LLC also does not provide distinction between LLC’s. Also the use of Arabic charcters versus their spelled counterparts does not provide distinction between LLCs such as “Jump 2 the front” vs “Jump two the front”. Possessive differences in words are not distinguishable such as “Karen’s” vs. “Karens”. Foreign language differences of equivalently translated words are distinguishable. Lastly, creative spelling of names are distinguishable such as Krispy Kritters vs Crispy Critters.
Publishing requirement for your Arizona LLC
The state of Arizona requires that all new businesses publish a notice of their filing in a local newspaper for at least 3 publications and also have to submit proof to the Secretary of State that this was done with in the allotted timeframe.
