Amendments


It’s often a misunderstood that once you file a corporation or LLC you are stuck with the name of that corporation or LLC, but say you start a company with the name ABC Rentals, LLC and later on you decide you want to get out of the rental business and instead of filing for a new LLC you would like to change the name of your LLC to ABC Catering, LLC. This is possible all with the help of an Articles of Amendment.

Once filed, your articles of organization (articles of incorporation for a corporation) are a public record of your intentions to do business in the state. The formation of the company through the articles of incorporation is what allows you to legally conduct business in the state. These documents when filed with the state can all be modified to suit your needs. The information that can’t be changed however is the corporate ID number, the date of organization or incorporation, and the organizer or the incorporator.

Most commonly, the reasons for making changes to a corporation of an LLC is due to a name change, director or member changes, and business address changes. Business name changes are most common as many people change their minds on what their business will do and therefore need a name change to reflect the new business model. Also, shelf corporations or LLC’s, which are companies that have been on file and in good standing (aged) will undergo name changes. People buy shelf companies to give an appearance that the company has been around longer than it actually has.

If you wish to change certain information on the articles such as business name, directors/members, business address, or registered agent information, you will need to file articles of amendment with the state. Every state does provide articles to make these changes and the filing fees associated with making changes to your articles vary from state to state.

As long as your business has been in compliance with the state you can change your LLC or Corporation name by simply filing articles of amendment.
